Remember this first
First, 3 things to remember
- 1A disclosure is an important notice that a company makes public to investors.
- 2A 8-K can contain both good and bad news.
- 3Check what happened, under what conditions, and when it occurred in chronological order.
Look at what happened rather than the name 8-K.
A 8-K is one of the disclosure documents that US companies use to announce important events. A disclosure is an official notice that a company releases to investors. The fact that a 8-K was released is not inherently positive news.
The 'Item' in the document refers to the section number. For example, 1.01 covers material contracts, 2.02 covers financial results, and 3.01 covers listing-related notices. You do not need to memorize the numbers. You can simply identify the event from the title right next to it.
Attached documents are explanatory materials appended to the notice.
Exhibit means an attached document. Press releases may be attached with names like EX-99.1, and contract details may be included in separate attachments. Do not assume the content just by looking at the number.
If it says 'up to 1,000,000 dollar contract,' check what must be done to receive payment. Signing a contract, completing the work, and actually receiving the money are different stages.
Distinguish between the date the event occurred and the date it was filed.
A contract might be signed on Monday and the document filed on Wednesday. Reading it on Wednesday does not mean the contract was newly created that day. Compare the article date with the original document date.
A 8-K/A is a report that amends existing content. Check what has been corrected. Initially, it is sufficient to write down one line each for 'what happened,' 'what the conditions are,' and 'when it occurred.'
You should not make such assumptions
“The fact that 8-K was released is a positive sign in itself.”
8-K is a type of disclosure document. It can contain negative news such as contract terminations or listing issues.
Check what you have read.
- What happened?
- What are the conditions listed in the attachment?
- Are the event date and the filing date different?
